Contractual Relationship

This Agreement, referred to as the contract, is between you and Emirates Roadside Assistance, a company headquartered in Dubai. It applies to your use or access of the current and future offerings provided by Emirates Roadside Assistance, including the site, services, and mobile application. In this Agreement, the terms 'including' and 'include' imply a non-exclusive list. Your utilization of the Services signifies your acceptance of this Agreement, thereby establishing a legal relationship between you and Emirates Roadside Assistance.

If you disagree with any provisions outlined in this Agreement, you are prohibited from accessing or utilizing the Services. This Agreement explicitly replaces any previous agreements or understandings with you. Emirates Roadside Assistance retains the right to promptly terminate these Terms or any Services concerning you, or to discontinue offering or restrict access to the Services, or any part thereof, at any time and for any reason. Certain Services may be subject to additional terms, such as policies related to specific events, activities, or promotions, which will be provided to you alongside the relevant Services (referred to as 'Supplemental Terms').

Supplemental Terms, when applicable, are supplementary to and are considered integral components of the Agreement for the relevant Services. In the event of any conflict regarding the applicable Services, the Supplemental Terms will take precedence over this Agreement.

Emirates Roadside Assistance reserves the right to periodically modify the terms associated with the Services. Amendments will take effect upon the release of an updated Agreement. The Agreement may undergo changes intermittently. In such instances, Emirates Roadside Assistance will notify you by updating the date at the top of the Agreement and/or issuing an additional notice. Your continued use or access of the Services following such updates or notifications indicates your acceptance of the amended Agreement.

If you disagree with the updated Agreement, kindly discontinue your use of the Services, as the revised Agreement will take effect as of the date of its posting or notification.

The Services

To access Emirates Roadside Assistance's Services, you must download the application onto your smart device, follow the provided instructions, and furnish all required details to create your account. You must be at least 18 years old and supply specific personal information during the account creation process.

By agreeing to this, you authorize Emirates Roadside Assistance to gather your personal information and precise geolocation. Emirates Roadside Assistance reserves the right to send you informational and promotional text messages. While you retain ownership of your personal information and User Content, you grant Emirates Roadside Assistance permission to utilize your User Content.

Emirates Roadside Assistance maintains ownership of its company and intellectual property information. It is solely your responsibility to ensure the security of your account. Multiple accounts are prohibited. The Services function as a technological platform that facilitates users of Emirates Roadside Assistance's applications or websites (each referred to as an 'Application') to organize and schedule logistics services, such as fuel delivery and other products and amenities.

Unless specifically stipulated otherwise in a separate written agreement between you and Emirates Roadside Assistance, the Services are intended solely for your personal and non-commercial use.

User Eligibility & Accounts

To access most features of the Services, you must register for and uphold an active personal user Services account ('Account'). You must be at least 18 years old to acquire an Account.

To create your account and enable Emirates Roadside Assistance to provide you with Services, you must download the application on your smart device, follow the provided instructions, and furnish all required details.

Account registration necessitates the submission of certain personal information to Emirates Roadside Assistance, including your name, address, mobile phone number, password, vehicle year, make, license plate, and model, as well as at least one valid payment method (such as a credit card or accepted payment partner).

You agree to uphold accurate, complete, and current information in your Account. Failure to maintain precise, complete, and up-to-date Account details, including possessing an invalid or expired payment method on file, may lead to your inability to access and utilize the Services, or result in Emirates Roadside Assistance terminating this Agreement with you.

You are accountable for all activities conducted under your Account, and you commit to preserving the security and confidentiality of your Account username and password.

Geolocation

You consent to Emirates Roadside Assistance collecting your precise geolocation data. This data is gathered to enhance your user experience, such as providing reminders to request a refill.

You have the option to disable your geolocation, but please note that this may affect the Services provided by Emirates Roadside Assistance to you.

Emirates Roadside Assistance will not share your geolocation with any third parties without your explicit consent.

Network Access & Devices

You are accountable for acquiring the data network access required to utilize the Services. If you access or use the Services from a wireless-enabled device, you may incur data and messaging rates and fees from your mobile network provider.

It is your responsibility to procure and maintain compatible hardware or devices needed to access and utilize the Services and Applications, including any subsequent updates.

Emirates Roadside Assistance cannot guarantee that the Services, or any part thereof, will operate on all hardware or devices. Furthermore, the Services may be susceptible to malfunctions and delays inherent in internet usage and electronic communications.

License

Provided that you adhere to the terms outlined in this Agreement:

Emirates Roadside Assistance provides you with a limited, non-exclusive, non-sublicensable, revocable, and non-transferable license to: access and utilize the Applications on your personal device solely for the purpose of utilizing the Services; and access and utilize any content, information, and associated materials provided through the Services.

These permissions are granted exclusively for your personal, non-commercial use. Any rights not explicitly conferred herein are retained by Emirates Roadside Assistance and Emirates Roadside Assistance's licensors.

Prohibited Activities

You are prohibited from maintaining more than one active Account and from removing any copyright, trademark, or other proprietary notices from any part of the Services.

It is also forbidden to link to, mirror, or frame any portion of the Services, or to attempt unauthorized access or disruption of any aspect of the Services or its associated systems or networks.

Third Party Services & Content

The Services may be accessed or provided in association with third-party services and content, including advertisements, which are beyond Emirates Roadside Assistance's control. You recognize that distinct terms of use and privacy policies may govern your utilization of such third-party services and content.

Emirates Roadside Assistance does not endorse these third-party services and content, and under no circumstances shall Emirates Roadside Assistance be liable or accountable for any products or services offered by such third-party providers. Moreover, if you access the Services through Applications designed for mobile devices powered by Apple iOS, Android, Microsoft Windows, or BlackBerry Limited, Apple Inc., Google, Inc., Microsoft Corporation, or BlackBerry Limited respectively, shall be considered third-party beneficiaries to this agreement.

These third-party beneficiaries are not direct parties to this agreement and bear no responsibility for providing or supporting the Services in any capacity. Your use of the Services on these devices is subject to the terms outlined in the applicable third-party beneficiary's terms of service. You agree to adhere to any pertinent third-party terms while utilizing the Services.

Ownership

The Services and all associated rights are and will continue to be the property of Emirates Roadside Assistance or its licensors. This Agreement and your utilization of the Services do not confer or grant any rights to you

to utilize or refer to Emirates Roadside Assistance's company names, logos, product and service names, trademarks, or service marks, or those belonging to Emirates Roadside Assistance's licensors, in any capacity.

Text Messaging

These terms establish a legally binding agreement. Prior to utilizing Emirates Roadside Assistance, please carefully review this Agreement.

By accessing our site and/or mobile application, you consent to abide by all provisions outlined in this Agreement and to the collection and utilization of information as detailed in the Emirates Roadside Assistance Privacy Policy, provided you are a registered user of our Services.

If you do not agree with these terms, kindly refrain from using Emirates Roadside Assistance.

Payments

The Services may be accessible or provided in conjunction with third-party services and content, including advertisements, which Emirates Roadside Assistance does not control. You acknowledge that different terms of use and privacy policies may govern your use of such third-party services and content. Emirates Roadside Assistance does not endorse these third-party services and content, and under no circumstances shall Emirates Roadside Assistance be responsible or liable for any products or services offered by such third-party providers.

Additionally, if you access the Services using Applications developed for Apple iOS, Android, Microsoft Windows, or Blackberry-powered mobile devices, Apple Inc., Google, Inc., Microsoft Corporation, or BlackBerry Limited, respectively, shall be considered third-party beneficiaries to this agreement.

These third-party beneficiaries are not direct parties to this agreement and bear no responsibility for providing or supporting the Services in any capacity. Your access to the Services using these devices is subject to the terms outlined in the applicable third-party beneficiary's terms of service. You agree to adhere to any pertinent third-party terms while utilizing the Services.

Payment Charges

You acknowledge that utilizing the Services may result in charges ('Charges') for the services or goods provided by Emirates Roadside Assistance. Charges will include applicable taxes as required by law. Charges paid by you are considered final and non-refundable, unless otherwise determined by Emirates Roadside Assistance. Payment for all Charges is due immediately, and Emirates Roadside Assistance will process payment using the preferred payment method specified in your Account. In the event that your primary payment method on the Account is found to be expired, invalid, or unable to be charged, you agree that Emirates Roadside Assistance may utilize the secondary payment method from your Account, if available.

Emirates Roadside Assistance will provide you with a receipt via email, text message, and/or through the application. This electronic receipt is deemed sufficient for all purposes, including any specific legal requirements. If you prefer to receive a paper receipt, please contact us via email within 30 days of each transaction to request a physical receipt, which will be sent to you at our earliest convenience.

Payment Modifications & Cancellations

Emirates Roadside Assistance, exercising its sole discretion, retains the right to set and modify fees for all services or products acquired through the utilization of its services.

Disclaimers

You utilize the Emirates Roadside Assistance services at your own discretion and risk. The services are provided on an 'as is' and 'as available' basis. Emirates Roadside Assistance disclaims all representations and warranties, whether express, implied, or statutory, that are not expressly outlined in these terms, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Furthermore, Emirates Roadside Assistance makes no assurances, warranties, or guarantees regarding the reliability, timeliness, quality, suitability, or availability of the services, or any services or goods requested through the use of the services. Emirates Roadside Assistance does not warrant that the services will be uninterrupted or error-free. Additionally, Emirates Roadside Assistance does not guarantee the quality, suitability, or safety of fuels provided to you.

You acknowledge and agree that the entire risk arising from your use of the services, and any service or good requested in connection therewith, rests solely with you, to the fullest extent permitted under applicable law.

• Emirates Roadside Assistance assumes no liability for damages incurred by the customer’s vehicle beyond the scope of insurance coverage.
• Emirates Roadside Assistance bears no responsibility for the accuracy of location information provided by the customer.
• Emirates Roadside Assistance reserves the right to apply delivery charges if the customer's vehicle is inaccessible.
• If a cancellation occurs due to reasons related to Emirates Roadside Assistance or its driver, the customer will not be charged any fees.
• In case of interference with the driver's work, Emirates Roadside Assistance reserves the right to file an official complaint.
• Emirates Roadside Assistance may impose delivery charges if access to the customer’s vehicle is not feasible or if safety requirements hinder the company's employee from providing the service effectively.
• Emirates Roadside Assistance disclaims any liability for indirect, incidental, special, punitive, or consequential damages, including lost profits, data loss, personal injury, or property damage, arising from or related to any use of the services, unless ERA was aware of the possibility of such damages.
• Additionally, Emirates Roadside Assistance assumes no responsibility for delays, non-performance, defects, viruses, or similar issues transmitted to or through the services by any external party, user content, or any defamatory or unlawful conduct by any other external party.

Indemnification

You bear responsibility for your utilization of the Services, and you agree to indemnify and hold Emirates Roadside Assistance and its officers, directors, employees, consultants, affiliates, subsidiaries, and agents (collectively referred to as the 'Emirates Roadside Assistance Entities') harmless from and against any and all claims, demands, losses, liabilities, and expenses (including attorneys’ fees) arising out of or related to:

Your access to, usage of, or purported use of the Services, or services or goods obtained through your use of the Services.

Your breach or violation of any of these Terms, any representation, warranty, or agreement mentioned in these Terms, or any applicable law or regulation.

Your infringement upon the rights of any third party, including but not limited to any intellectual property rights, publicity rights, confidentiality, other property rights, or rights to privacy.

Data Privacy and Security

By using the Services, you hereby give consent to Emirates Roadside Assistance for the collection and/or processing of your personal data. Emirates Roadside Assistance is dedicated to safeguarding the personal data it receives from you or otherwise processes in connection with the Services. Emirates Roadside Assistance will implement commercially reasonable and appropriate technical and organizational measures to safeguard your personal data from unauthorized access, accidental loss, damage, or destruction.

The security measures employed by Emirates Roadside Assistance will align with industry best practices for protecting the types of data typically handled in the Services by Emirates Roadside Assistance customers. You will act as the data controller for any and all personal data contained in your account.

Emirates Roadside Assistance will serve as the data processor for any processing of personal data within your account on your behalf and will handle such personal data in accordance with this Agreement.

Emirates Roadside Assistance will engage sub-processors through written contracts that impose data privacy and security terms and obligations on the sub-processors, which are materially equivalent to those outlined in this Agreement.

Emirates Roadside Assistance will enter into written contracts with such sub-processors, imposing on them data privacy and security terms and obligations that are materially equivalent to those outlined in this agreement.

Applicable Law and Jurisdiction

The customer and Emirates Roadside Assistance agree to make a good-faith effort to resolve any dispute or claim arising from or related to this agreement through negotiations between appointed representatives of each party, empowered to settle the dispute.

If the dispute cannot be resolved amicably within 14 days of either party sending a written notification to the other party regarding the dispute, then:

These terms and conditions are governed by and interpreted in accordance with the laws of the Emirate of Dubai and the UAE federal laws, as applicable, in the Emirate of Dubai.

Any dispute arising from or in connection with these terms and conditions shall be referred to the Dubai courts, which have jurisdiction to hear, settle, and conclude any such dispute.
